FRANCHISE AGREEMENT

This Agreement is entered into on 2026-07-01 between Acme Global Inc. (the Franchisor) and John Doe Services (the Franchisee).

1. Grant of Franchise

The Franchisor grants the Franchisee the right to operate a Brightline Coffee Co. business within Greater Austin, exclusive within a 5-mile radius, using the Franchisor's brand, systems, and operating methods.

2. Term

This franchise is granted for a term of Ten years, renewable once from the effective date and may be renewed subject to the Franchisor's then-current terms.

3. Fees & Royalties

The Franchisee agrees to pay an initial franchise fee of $7,500.00 and an ongoing royalty of $85/hour on gross revenue, payable on the schedule set by the Franchisor.

4. Brand Standards & Confidentiality

Store build-out, menu, packaging and staff training per the Brand Manual The Franchisee will keep the Franchisor's operating manual and trade secrets strictly confidential.

5. Termination

Franchise termination Terms Upon termination, the Franchisee will immediately stop using the Franchisor's brand, signage, and proprietary systems.

6. Governing Law

This Agreement is governed by the laws of the State of Illinois.

Is this Franchise Agreement legally binding?

Once both parties sign and there is a clear offer, acceptance and consideration, an agreement of this kind is generally binding. Contract law is jurisdiction-specific, so have your standard version reviewed once by a lawyer where you operate — then reuse it.

Can I edit the clauses?

Yes, and you should. Delete what does not apply rather than trying to remember to add it. Deleting is safer than remembering.

When does the client own the work?

Whenever this document says so — and it should say on receipt of final payment, not on delivery. Until then you grant a licence, you do not assign ownership. That single clause is what lets you stop work if an invoice goes unpaid.

Do I also need a separate NDA?

Not if this agreement already contains a mutual confidentiality clause. A standalone NDA is worth signing earlier — during pitching or due diligence, before any contract exists.
